Public Offer

This document is a public offer (an offer to contract, open to anyone who accepts its terms) governing use of Pay4Top, published at pay4top.pro. It is issued by the Operator identified in Section 11. Completing payment for a listing constitutes full and unconditional acceptance of this offer, forming a binding agreement between the person or entity submitting that payment (the “User”) and the Operator.
1. Definitions
Operator. VeroTech LLC, the company that operates Pay4Top and provides the listing-placement service described below.
Platform. The website at pay4top.pro and the software behind it.
User. Any person or entity that submits a Listing and completes payment through the Platform.
Listing. The set of information displayed on the public leaderboard for a given URL: title, description, icon, and destination link.
Bid. A payment made by a User toward a specific Listing.
Rank. The Listing’s position on the public leaderboard, determined as described in Section 3.
2. Acceptance of this offer
Completing payment for a Listing is full and unconditional acceptance of this offer in the form published at the time of payment. By completing payment, the User confirms they have read, understood, and agree to these terms.
3. What the service is
The Operator provides a paid listing-placement service: in exchange for payment, a User’s Listing is displayed on a public leaderboard. A Listing’s Rank is determined solely by the cumulative amount ever paid toward it, sorted highest to lowest. There is no editorial review, algorithmic scoring, or curation involved in determining Rank — money paid is the only ranking signal.
Submitting the same URL again adds the new payment to that Listing’s existing cumulative total rather than creating a separate Listing. A new Listing must reach at least $5 to appear on the leaderboard at all; a top-up to an existing Listing must be at least $1.
A Listing that has previously held Rank #1 and has since been outbid may reclaim Rank #1 by paying the difference between its cumulative total and the current leader’s total, plus $1. A Listing that has never held Rank #1 must match or exceed the current leader’s full cumulative total to take that spot.
The Platform is not a lottery, raffle, game of chance, or wagering product of any kind. There is no element of chance: the outcome of any payment (the resulting Rank) is fully determined by the amount paid and the amounts already paid by others, known at the time of payment.
4. Who can use the Platform
The Platform is open to both individuals and entities. By submitting a Bid, the User represents that they have the legal capacity to enter into a binding contract in their jurisdiction (including, where applicable, having reached the age of majority) and that they are not subject to any trade sanctions or restrictions that would make this agreement unlawful.
5. Payment
Prices are set by the User in US dollars at the time of submission and processed by Polar.sh, acting as merchant of record. Polar.sh handles applicable transaction taxes as part of that role. The Operator does not store payment card details.
Payment for a Listing is final and non-refundable once the Listing has been placed on the leaderboard, except where required by applicable law. If a User believes a charge was made in error, they should contact the Operator (Section 11) before contacting their bank or card issuer. An unauthorized or bad-faith chargeback may result in the associated Listing being removed and the User being restricted from future use of the Platform, without prejudice to the Operator’s right to recover any resulting losses.
6. User warranties
By submitting a Listing, the User warrants that they:
- own the submitted link and any associated title, description, or image, or hold a valid right to use and display them;
- have provided information that is accurate and not deliberately misleading;
- are not submitting content that is illegal in the User's jurisdiction or the Operator's jurisdiction, including scams, malware or phishing destinations, and adult or sexual content;
- are not submitting chat or invite links used purely as an invite funnel, or link-shortener URLs in place of a real destination.
The User is solely responsible for the legality, accuracy, and content of their Listing. If a third party or public authority raises a claim against the Operator arising from a User’s Listing, the User agrees to indemnify the Operator for any resulting losses, including reasonable legal costs.
7. Operator's rights
Ranking itself is unmoderated — money paid is the only ranking signal, and no Listing is reviewed or approved before it goes live. However, any Listing can be flagged for manual review by any visitor, and the Operator may remove or hide a Listing at its discretion if it violates Section 6, regardless of Rank or amount paid, without any refund of amounts already paid toward it.
The Operator does not guarantee that any Listing will hold a particular Rank for any length of time — Rank can change at any moment as other Users pay toward their own Listings — nor does it guarantee any particular level of clicks, traffic, or other commercial outcome from a Listing. The Platform is provided on an “as is” and “as available” basis, without warranty of uninterrupted or error-free operation.
The Operator may amend this offer at any time; the version in effect at the moment a User completes payment governs that transaction. The Operator may also suspend or discontinue the Platform, including for maintenance, and will make reasonable efforts to give advance notice before permanently discontinuing the service.
8. Intellectual property
The Platform itself — its design, source code, and branding — is the Operator’s property. By submitting a Listing, the User grants the Operator a non-exclusive, royalty-free license to display the submitted title, description, and image on the Platform for as long as the Listing remains active.
9. Limitation of liability
To the maximum extent permitted by law, the Operator’s total liability to a User arising from this offer is limited to the amount that User has paid toward the specific Listing giving rise to the claim. The Operator is not liable for indirect, incidental, or consequential damages, including lost profits or lost business opportunities.
10. Force majeure
Neither party is liable for a failure to perform its obligations under this offer where that failure results from causes beyond its reasonable control, including natural disaster, war, acts of government, or widespread failure of internet or payment infrastructure.
11. Governing law, disputes, and operator identity
The parties will first attempt to resolve any dispute arising from this offer through good-faith negotiation. This offer is governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law principles, and any dispute not resolved by negotiation will be brought exclusively in the state or federal courts located in Delaware. Each party waives any objection to that venue.
